Terms of Service

These Terms of Service (“Terms”) govern access to and use of the MemberCrest platform (“Service”) provided by MemberCrest (“we”, “us”, or “our”) to organizations and authorized users (“Customer”, “you”). By creating an account or using the Service, you agree to these Terms.

1. The Service

MemberCrest is a B2B software-as-a-service platform for club and association management, including membership administration, dues collection, event ticketing, and related communications tools. Features available to you depend on your subscribed plan and configuration.

2. Accounts and eligibility

You must provide accurate account information and keep credentials secure. You are responsible for activity under your organization’s workspace and for ensuring users have authority to act on behalf of your organization.

3. Subscriptions and fees

Paid plans are billed according to the pricing and billing interval selected at checkout or otherwise agreed in writing. Fees are non-refundable except where required by law or expressly stated by MemberCrest. We may change plan pricing with notice for upcoming renewal periods.

4. Customer data

You retain ownership of content and member data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. You represent that you have all rights and consents needed to upload and process Customer Data through MemberCrest.

5. Payments via Stripe

Membership dues and event ticket payments may be processed by Stripe. Where Stripe Connect is enabled, funds may be paid out to your connected Stripe account. Stripe’s terms apply to payment processing. MemberCrest is not a bank and does not hold member dues as a fiduciary except as necessary to operate checkout flows.

6. Acceptable use

You may not misuse the Service, attempt unauthorized access, interfere with platform integrity, send unlawful or abusive communications, or use MemberCrest to process data in violation of applicable law. We may suspend access for material breaches or security risk.

7. Availability and changes

We aim for reliable uptime but do not guarantee uninterrupted availability. We may modify features, perform maintenance, or discontinue functionality with reasonable notice when practical.

8. Disclaimers and limitation of liability

The Service is provided “as is” to the fullest extent permitted by law. MemberCrest’s aggregate liability arising from these Terms or the Service is limited to the fees paid by you to MemberCrest for the Service in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

You may stop using the Service at any time. We may terminate or suspend access for non-payment or material breach. Upon termination, your right to access the Service ends, subject to any export or retention options we make available.
